1. Agreement to Terms

By accessing or using the Site from anywhere in the world, you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

We reserve the right to update these Terms at any time. The most current version will always be available on this page, marked with the effective date above. Continued use of the Site after any changes constitutes your acceptance of the revised Terms.

Cheahseed provides the following services to clients worldwide on a fully remote basis:

- Sales funnel strategy, design, and build

- Fractional CFO services

- Financial modeling and profit strategy

- Landing page and conversion optimization

- Business growth consultancy

- Sale of digital products

The Site is used to present these services, collect enquiries, and facilitate discovery call bookings with prospective clients globally. Services are delivered remotely via online platforms including Zoom, Google Meet, and GoHighLevel.

3. International Use and Compliance

The Site is operated and administered by Cheahseed Sdn Bhd from Malaysia. We serve clients across Southeast Asia, Asia-Pacific, and worldwide.

If you access or use the Site from outside Malaysia, you are responsible for ensuring that your use complies with all local laws, regulations, and requirements applicable in your jurisdiction. Cheahseed makes no representation that the Site or its services are appropriate or available in all countries.

By using the Site, you agree not to use any Cheahseed content or services in any manner prohibited by the laws of your jurisdiction.

- Zoom / Google Meet — video call delivery

- Stripe or equivalent — payment processing where applicable

Singapore clients (PDPA Singapore 2012) We comply with the Singapore Personal Data Protection Act 2012. You have the right to withdraw consent and to request access to or correction of your personal data held by us.

United States clients (CCPA) If you are a California resident, you have the right to know what personal information we collect, to request deletion of your personal information, and to opt out of the sale of personal information. Cheahseed does not sell personal information to third parties.

Malaysian clients (PDPA Malaysia 2010) We process your personal data in accordance with the Personal Data Protection Act 2010 (Malaysia). You have the right to access and correct your personal data by contacting us at [email protected].

11. Disclaimer of Warranties

The information, services, and content provided on this Site are offered on an "as is" and "as available" basis without any warranties of any kind, express or implied, to the fullest extent permitted by applicable law in your jurisdiction.

Cheahseed does not warrant that:

- The Site will be uninterrupted, error-free, or free of viruses or harmful components

- The information on the Site is complete, accurate, or current at all times

- Any specific financial, business, or revenue outcomes will be achieved through use of our services

12. Limitation of Liability

To the fullest extent permitted by applicable law, Cheahseed Sdn Bhd, its directors, officers, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, special, punitive, or consequential losses or damages of any kind arising from:

- Your access to or use of, or inability to use, the Site or our services

- Any errors, omissions, or inaccuracies in Site content

- Unauthorised access to, or alteration or loss of, your data

- Any third-party conduct or content linked from the Site

- Any business decisions made in reliance on information from the Site

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded in your jurisdiction. Where local consumer protection laws apply and cannot be excluded, those rights are preserved.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cheahseed Sdn Bhd and its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

- Your use of or access to the Site

- Your breach of these Terms

- Your violation of any applicable law or regulation in your jurisdiction

- Your violation of any third-party rights

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

For clients outside Malaysia, nothing in this clause prevents you from relying on mandatory consumer protection provisions that apply in your country of residence and that cannot be contractually waived.

Dispute resolution process:

Negotiation — In the event of any dispute, both parties agree to first attempt to resolve it through good-faith written negotiation for a period of 30 days from the date the dispute is notified in writing.

Mediation — If negotiation fails, either party may refer the dispute to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia.

Arbitration — If mediation fails within 60 days, the dispute shall be finally resolved by binding arbitration administered by the AIAC under its Arbitration Rules, by a single arbitrator, conducted in English in Kuala Lumpur, Malaysia. The arbitral award shall be final and binding and enforceable in any court of competent jurisdiction.

Courts — Notwithstanding the above, Cheahseed reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

You agree that any dispute shall be brought on an individual basis only. Class actions and collective proceedings are not permitted.

15. Force Majeure

Cheahseed shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest, government action, power outages, or internet or telecommunications failures.

16. Termination of Access

Cheahseed reserves the right to suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful conduct, or if required to do so by applicable law.

Termination does not affect any accrued rights or liabilities of either party.

17. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any separate service agreement entered into between you and Cheahseed, constitute the entire agreement between you and Cheahseed with respect to the Site and supersede all prior communications and proposals.

It is the express wish of both parties that these Terms and all related documents be written in English.

18. Changes to These Terms

Cheahseed reserves the right to modify these Terms at any time. Material changes will be notified by updating the effective date at the top of this page. We encourage you to review these Terms periodically. Continued use of the Site after any changes constitutes acceptance of the revised Terms.

19. Digital Goods Purchasing Policy (No Returns, No Refunds). All sales of digital products, including but not limited to downloadable files, software, templates, e-books, online courses, and digital media (collectively, "Digital Content"), are final. Once payment is processed and access, download, or streaming links are delivered, issued, or made available to you, the transaction is complete and strictly non-refundable. Because Digital Content is intangible and cannot be returned, we do not accept returns or exchanges, nor do we offer change-of-mind refunds under any circumstances.

Customer Consent and Waiver of Withdrawal Rights.

By clicking "Buy Now," "Purchase," or otherwise completing your transaction, you explicitly acknowledge and agree that:

- You demand immediate performance of this contract.

- You request immediate access to the Digital Content before the expiration of any statutory cancellation or cooling-off periods.

- You knowingly and explicitly waive any statutory right of withdrawal, cancellation, or refund provided under applicable regional consumer protection laws (including, where applicable, the EU/UK 14-day cooling-off period).

Technical Defects and Non-Delivery Exceptions.

Refund or replacement requests will only be considered on a case-by-case basis under the following limited exceptions:

- Non-Delivery: The product link or access credentials failed to deliver due to a technical error on our part.

- Inherent Defects: The digital file is corrupted, broken, or fundamentally defective upon receipt, and the issue cannot be resolved or repaired by our support team.

Dispute Resolution and Support.

In the event of a technical issue or file delivery failure, you agree to contact our customer support team at [email protected] before initiating any bank chargeback or dispute. Unwarranted chargebacks will result in the immediate termination of your product license and account access.
